<!--:en-->The executive duty to supervise- some lessons from the Commercial Bank case<!--:--><!--:HE-->חובת הפיקוח של מנהלים בחברה- לקחי פרשת הבנק למסחר<!--:-->

 

The Commercial bank embezzlement was exposed in 2002, whereby up the Trade Bank Ltd. works, Etti Alon, stole  a huge volume of bank funds that led to its collapse. All in all up  from March 1997 to April 2002,Mrs Alon stoled  the amount of 271,324,503 NIS  (more then 77 million us $). Mrs Alon opened fictitious 206accounts (compared to 1,300 bank customers), which provided loans to back to back and pulled the loan funds available. 202 bank accounts directly deposit money were stolen by  breaking into customer attraction.

The Central Bank of Israel paid the Commercial Bank customers more than 600 million NIS.

A few months ago the prosecution decided to close the investigation against three former directors of the Bank of Commerce, which was closed after the cause of the huge (250 million ₪) embezzlement of  Mrs’ Alon who was  sentenced to 17 years prison.

I would like to note at the outset that the provisions of this review are  based on publication in the media, that there was no evidence that led to the conclusion that the prosecution has to close the case for lack of evidence. However, I wish to examine the issue of different eyes and offer a different perspective, I think that in principle it is necessary to examine the case in a new way with different eyes.

Development of legislation and case law regarding the responsibility of managers is a function of two main components:

• Extension activities in corporations nationwide and often multinational, in which supervisory authorities on the corporation’s activities is ineffective and almost not possible.

• Issues with overseeing the state interest in corporate activity, which has derivatives that could lead to such public interest like;  antitrust, natural resources and pollution issues by corporations, issues relating to media corporations control the public service system that provide security, securities of banks, etc. .

Professor Lederman (criminal law expert, former Dean of the Faculty of Law at Tel Aviv University) in his article on the criminal responsibility of organs and senior officials in the corporation, distinguishes between management supervision offenses and Administrative offences . According to the article, administrative offenses directed at the legal body are actually forms of breach of trust regarding management levels and their supervision responsibility  of the corporation, that is a betrayal of trust given that the corporation authorities and its shareholders who appointed them.

I wish to present the my view,  that it was possible to prosecute the directors of The Commercial Bank for breach of their trust duties under section 425 of the Penal Code, or actions relating to a corporation (bank) under section 424 of the Penal Code.

Section 425 of the Penal code –( interest in fraud and breach of trust in the corporation). This is the section corresponding to Article offense of fraud and breach of trust by a public official (Article 284 of the Penal Code) which was discussed broadly  in the Supreme Court verdict in the case of Sheves (who was director general of the Prime Minister at the time of Yitzhak Rabin).

Sheves case the Supreme Court held that the value protected by the provisions in section 284 above (fraud and breach of trust by public servant) came  to ensure the proper functioning of public administration. It came to make sure that the public servant will fulfill his duties as required; that he will act according to rules and standards that determine the decision making process, in order that  he (the public servant) will not put himself in situations that may harm his ability to take the role into practice in a proper way.

The new Companies Act includes section 254 regarding explicit fiduciary duties of officers. Fiduciary duty stating that: (a) An officer owes fiduciary duty to the company, will act in good faith and act in its favor, the series of instructions are not a closed list and the court can add to it.

The Supreme Court on two other cases (Buchbinder  case and  Koasoy case) determined that the director must act in good faith, fairness and for the good of fulfilling the role (see Koasoy, p. (278. Underlie this duty, is the power of board membership director who gives him control over the property of another (the company)…. fiduciary duty based on the existence of only one interest worthy of protection, and that is the interest of the company. “

It can be said that the obligation of confidence of managers as far as keeping the value the company protected, mutatis mutandis, by Article 425 of the Penal Code, having regard to the ruling Justice Barak said Koasoy,-the  interest: ensuring the proper functioning of the corporation, It  came to make sure that the principal will fulfill the role as required and that he (the director or manager – gb) will act according to rules and standards that determine the decision making process and that he will not put himself in situations that may harm his ability to take the role of the power to pass appropriate manner. The order underlies the corporation interest, including principal roles within the duty to prevent other managers and employees to violet their duties.  It is the manager’s supervisory duties within the law of breach of trust.  Moreover, according to the approach of Professor Lederman violations of trust can be seen as management offenses.

Since by definition a criminal offense has the duty to existence not only acts but omissions, we will examine where the breach of duty of supervision by the Director in the form of default create in fact offense of breach of trust.

The Supreme Court ruling on Sheves case held that one way to examine the breach of trust is the strength of public damage as a result of the violation.

How do we examine the strength of the breach of trust?

In order to determine when we can be attributed to an director or manager  in the corporation the same awareness of the circumstances involving breach of trust than to criminal responsibility, for its violation of the obligation or duty of management and supervisory responsibility we should determine some number of subtests that can help us to  group the circumstantial evidence in this matter :

The number of illegal actions committed (supervisory liability). Is this a large number of acts or one-time event?

type of illegal activities perpetrated supervision liability.

amount of time that the illegal actions carried out (supervisory liability). Are these acts, which lasted over a considerable period of several years, or were attracted few months.

• illegal activities sophistication( supervisory liability )- a pattern of action – whether it was possible to discover or prevented by simple means?

• results of acts and supervisory liability illegal – the extent of damage caused by wild factor control.  Is the damage is such that the corporation made a loss or a heavy fine.

• Impact of damage control acts and liability on the corporation, the shareholders or external parties.

• type of corporation or corporations involved in illegal activities. Is this a public corporation whose shares are traded in the securities exchange, or a small family company.

The  status and position  of the person whose act should be  under control, which caused damage to the corporation, the administrative hierarchy.

Geographic proximity or remoteness of the person illegal acts. Is he working at a branch in a distant (physically) headquarters, or an employee in control of the Chief Executive.

These tests will help us to assist in determining concerning Full executive employees and managers delimitation and therefore assume whether  the manager was quite possible to carry  the duties of his supervisory duty of corporate management  and if so he may face charges of breach of trust affecting the corporation.

Judge Edna Kaplan affair with me alon Bank of Commerce said the following:

” where were the bank authorities Where was the internal control at the bank? How they facilitated the activities of the defendant? … How did not take precautions ….. to organized theft on her (Mrs Alon) crimes effects . “

Who examine the things on the graph / bar as I suggested will find that each parameter proposed reach the peaks of power in the Commercial Bank affair.

Conclusion – In my opinion a breach of trust is an independent offense examining the management of the corporation by the director or senior managers. It is true that even though the offense is a behavior kind of offence, the examination of criminal responsibility of the manager will be expressed mainly when there is a real damage to the corporation or its shareholders.

It seems that in order that the manager will be liable to criminal breach of trust, which deals with the failures of supervision for another employee act , the employee must  perform consequential crime over time, the damages  inflicted (economic or business core society), may be prevented  by reasonable control measures.

In my view the case of the Commercial bank managers and directors is a clear case in which the bank managers & directors did not act according to their duty of supervisory power and were liable under section 424 of the Penal Code.

לפני מספר חודשים פורסמה בגלובס ידיעה לפיה הפרקליטות החליטה לסגור את תיקי החקירה נגד 3 מהדירקטורים לשעבר של הבנק למסחר , שנסגר בעקבות מעילת הענק ( 250 מליון ₪)של אתי אלון שנשפטה לשנות מאסר רבות על חלקה בגניבה.

אני מבקש לציין בפתח דברי כי האמור בסקירה זו מתבסס על דברים שפורסמו בתקשורת וכי אין בידי הראיות שהובילו את הפרקליטות למסקנה לפיה יש לסגור את התיק מחוסר ראיות. יחד עם זאת  אני מבקש  לבחון את הנושא בעיניים שונות ולהציע זווית ראייה אחרת, אני סבור כי במישור העקרוני יש לבחון את הדברים בדרך חדשה ובעיניים אחרות.

התפתחות החקיקה והפסיקה לעניין אחריותם של מנהלים היא פועל יוצא של 2 רכיבים עיקריים:

•           פעילותם הרחבה של תאגידים בפעילות כלל ארצית ולעיתים רב לאומית, באופן בו פיקוח הרשויות  על פעילות התאגיד אינו יעיל ולמעשה כמעט ואינו מתאפשר.

•           נושאים בהם למדינה עניין בפיקוח על פעילות תאגידים, אשר לה נגזרות העלולות להביא לפגיעה בציבור דוגמת , הגבלים עסקיים , נושאי זיהום משאבי טבע ע”י תאגידים , נושאים הנוגעים לשליטה בתאגידי תקשורת המספקים שרות לציבור ולמערכת הביטחון, ניירות ערך, פעילות הבנקים וכיו”ב.

פרופ’ לדרמן (מומחה למשפט פלילי, לשעבר דיקן הפקולטה למשפטים באוניברסיטת תל אביב) במאמרו על אחריות פלילית של אורגנים ונושאי משרה בכירים בתאגיד ,מבחין בין עבירות ניהול לעבירות פיקוח. עפ”י המאמר , עבירות הניהול המכוונות כלפי הגוף המשפטי הן למעשה צורות של הפרת אמונים של דרגי הניהול והפיקוח של התאגיד, כלומר מעילה באמון שנתנו בהם רשויות התאגיד שמינו אותם ובעלי מניותיו”. “זווית המוצא של עבירות  הניהול היא הגברת האחריות המוטלת על הנמצאים בראשי המסגרות הארגוניות שבוצעו בהן הפרות חוק. עבירות הניהול בחרו בעמדת הכוח של הניהול בתאגיד כנקודת מוצא לאחריות. הן מטילות על מנהל הסוטה מנורמות ניהול תקינות , במקרים רבים, כאמור, בלא הדגשת נושא ההסדרה או תחומי העיסוק של הגוף המשפטי שהוא פועל במסגרתו או עומד בראשו”.

אני מבקש להציג אפשרות לפיה ניתן היה להעמיד לדין את מנהלי הבנק למסחר על הפרת חובות האמון שלהם כאמור בסעיף 425 לחוק העונשין, או פעולות הנוגעות לתאגיד (הבנקאי) כאמור בסעיף 424 לחוק העונשין.

סעיף 425 לחוק העונשין- עניינו במרמה והפרת אמונים בתאגיד. זהו הסעיף המקביל לסעיף העבירה של מרמה והפרת אמונים בידי עובד ציבור (סעיף 284 לחוק העונשין) שלובן בבית המשפט העליון במסגרת פסק דינו בפרשת שבס (מי שהיה מנכ”ל משרד רה”מ בתקופתו של יצחק רבין ז”ל).

בפרשת שבס קבע בית המשפט העליון כי הערך המוגן על ידי ההוראות בסעיף 284 לעיל (מרמה והפרת אמונים של עובד ציבור)  נועד להבטיח את פעילותו התקינה של המינהל הציבורי. הוא בא לוודא כי עובד הציבור יגשים את תפקידו כנדרש; כי הוא יפעל על פי הכללים ואמות המידה הקובעות את תהליך קבלת ההחלטות; כי הוא לא יעמיד עצמו במצבים שיש בהם פגיעה ביכולתו להוציא את תפקידו מהכוח אל הפועל באופן ראוי; כי האינטרס הציבורי, המונח ביסוד התפקיד הציבורי, יוגשם הלכה למעשה.

חוק החברות החדש כולל בסעיף 254 הוראה מפורשת לגבי חובות האמונים של נושאי משרה. חובת אמונים הקובעת כי: (א) נושא משרה חב חובת אמונים לחברה, ינהג בתום לב ויפעל לטובתה, מדובר בשורה של הוראות שאינה רשימה סגורה וניתן להוסיף עליה.

בית המשפט העליון ב- 2 פרשות אחרות (בוכבינדר וקוסוי) קבע כי על הדירקטור לפעול בתום לב, בהגינות ולמען טובת הגשמת תפקידו (ראו פרשת קוסוי, עמ’ (278. ביסוד חובה זו עומד כוחו של הדירקטור אשר חברותו בדירקטוריון מעניקה לו שליטה על רכושו של אחר (החברה(  …. חובת האמונים מבוססת על קיומו של אינטרס אחד בלבד הראוי להגנה, והוא אינטרס החברה” .

ניתן לומר כי חובת האמון של מנהלים ככל שמדובר בשמירת הערך המוגן בחברה, בשינויים המחויבים עפ”י סעיף 425 לחוק העונשין, ובשים לב לדברי השופט ברק בפס”ד קוסוי,  ענינה: הבטחת פעילותו התקינה של התאגיד, היא באה לוודא כי המנהל יגשים את תפקידו כנדרש וכי הוא יפעל על פי הכללים ואמות המידה הקובעות את תהליך קבלת ההחלטות וכי הוא לא יעמיד עצמו במצבים שיש בהם פגיעה ביכולתו להוציא את תפקידו מהכוח אל הפועל באופן הראוי. אינטרס התאגיד המונח ביסוד תפקידי המנהל כולל בחובו את החובה למנוע ממנהלים ועובדים אחרים הפרת חובותיהם הם. כך ניתן איפוא לגדר את חובות הפיקוח של מנהלים במסגרת העבירה של הפרת אמונים. זאת ועוד על פי גישתו של פרופ’ לדרמן ניתן לראות בהפרות אמונים אלו עבירות ניהול.

מאחר ועבירה פלילית מעצם הגדרתה וקיומה כוללת בחובה לא רק מעשים כי אם מחדלים, נבחן איפה האם הפרה של חובת פיקוח על ידי מנהל בצורת מחדל אינה יוצרת למעשה עבירה של הפרת אמונים.

השופט חשין בפסק דינו בענין שבס כתב כי אחת הדרכים לבחון את הפרת האמונים היא עוצמתה של הפגיעה בציבור כפועל יוצא של ההפרה .

כיצד נבחן איפה את עוצמתה של הפרת האמונים?

על מנת לקבוע מתי נוכל לייחס לנושא משרה בתאגיד את אותה מודעות לגבי הנסיבות הכרוכות בהפרת אמונים העולה כדי אחריות פלילית,  בגין הפרתה חובת של הפיקוח או חובת הניהול הנגזרת מאחריותו של מנהל יש מקום לקבוע מספר מבחני משנה אשר יוכלו לסייע בידנו לקבץ את הראיות הנסיבתיות לעניין זה:

•           מספר הפעולות הבלתי חוקיות חבות הפיקוח שבוצעו. האם מדובר במספר ניכר של פעולות או מקרה חד פעמי.

•           סוג הפעולות הבלתי חוקיות חבות הפיקוח שבוצעו.

•           משך הזמן בו בוצעו הפעולות הבלתי חוקיות חבות הפיקוח . האם מדובר בפעולות , אשר נמשכו על פני פרק זמן ניכר, של מספר שנים, או פעלות שנמשכו מספר חודשים מועט.

•           תיחכום הפעולות הבלתי חוקיות חבות הפיקוח- דפוס הפעולה- האם ניתן היה לגלותן ולמנען באמצעים פשוטים?

•           תוצאות הפעולות הבלתי חוקיות חבות הפיקוח – היקף הנזק שנגרם על ידי הגורם בר הפיקוח. האם הנזק הוא כזה שגרם לתאגיד הפסד או קנס כספי כבד.

•           השפעת הנזק של הפעולות חבות הפיקוח על התאגיד , על בעלי מניותיו , או על גורמים חיצוניים.

•           סוג התאגיד או התאגידים המעורבים בפעולות הבלתי חוקיות ברות הפיקוח. האם מדובר בתאגיד ציבורי , אשר מניותיו נסחרות בשוק ניירות הערך, או מדובר בחברה משפחתית קטנה.

•           מעמדו ומיקומו של מבצע הפעולה ברת הפיקוח, אשר גרמה נזק לתאגיד, בהיררכיה הניהולית.

•           קרבה או ריחוק גאוגרפים של מבצע הפעולה הבלתי חוקית. האם מדובר בפעולה של עובד בשלוחה רחוקה (פיזית) מההנהלה הראשית, או שמא מדובר בעובד הנמצא בתחומי השליטה של ההנהלה הראשית.

מבחני עזר אלו יש בהם כדי לסייע בקביעה הנוגעת לתיחום שליטת המנהל הבכיר בעובדיו ומנהליו ניתן איפוא להניח כי מנהל הנמנע מלקיים את חובות הפיקוח וחובת הניהול שלו בתאגיד עשוי לעמוד בפני אישום של הפרת אמונים הפוגעת בתאגיד ככל שמדדי העוצמה יתמלאו.

השופטת עדנה קפלן בפרשת אתי אלון והבנק למסחר אמרה את הדברים הבאים :

“  בטרם גזירת מידת עונשם של נאשמים, שוב, כבסיפא הכרעת הדין – (שם, עמ’ 104) – אותה פליאה קשה לאמר; היכן היו שלטונות הבנק? היכן היה הפיקוח הפנימי בבנק? כיצד התאפשרו להן פעולותיה של הנאשמת? ההלוואות הפיקטיביות? הרישומים הכוזבים? הצ’קים הבנקאיים המזוייפים אשר קלונם ניכר על פניהם כראייתם בנספחי הכרעת הדין? כיצד טחו עיניהם מראות? כיצד לא בדקו חמש שנים פנימה בבנק? כיצד לא נקטו באמצעי זהירות? כיצד קרס לו בנק למסחר בפעולותיה של נאשמת פנימה ואין פוצה פה ומצפצף כל העת, כדי בזיון וקצף”.

ובהמשך דבריה של השופטת נאמרו הדברים הבאים :

“אל הפקרות; אל אישה – הלא ישר בעיניה תעשה, בכספי בנק ולקוחותיו. והבנק – כסומא; והבנק – בגידולה של נאשמת, עד לתפקידה האחרון, סגנית מנהלת השקעות; כדי בזיון וקצף. כדי מה הטעון בדיקה וחקירה; כדי מה הטעון ביקורת; כדי מה הצריך לו למסקנות ודרישות פני עבר ודרכי מניעה צופות פני עתיד. אל שבר וריק בבנק; לקוחותיו; על רשת שקרית, פיקטיבית. אל כלום המכוסה בדפי מחשב. אל קופסאות ריקות, מורקות מתוכנן; אל פרימת סריגת השווא – בגלוי הפלילי ,על ציר פשע – המתאפשר בקלות בל תאומן; אל ציר פשע, בגניבת 250 מליון שקל מבנק(!); גניבות – אשר רק צריך היה להקיש בקופסאות – וקלונן היה מציץ לו במלוא כעורו (הדגשה שלי ג.ב). אל גניבה מאורגנת, על לוואי פשעים לה. על קריסת מערכת, בנק מסחר בישראל.”

מי שיבחן את הדברים על פני הגרף/ סרגל העוצמה אותו הצעתי ימצא כי כל אחד מהפרמטרים המוצעים מגיע לשיא עוצמתו בפרשה זו.

לסיכום – לטעמי הפרת אמונים היא עבירה עצמאית הנוגעת לדרך הניהול של התאגיד על ידי מנהלו או מנהליו הבכירים. נכון הדבר, כי אף שמדובר בעבירה התנהגותית, הרי בחינת אחריותו הפלילית של המנהל תבוא לידי ביטוי בעיקר כאשר קיימת פגיעה של ממש בתאגיד או לעיתים בבעלי מניותיו (במיוחד כאשר מדובר בתאגיד שמניותיו נסחרות בבורסה לניירות ערך), פגיעה שיתכן והייתה נמנעת בהפעלת אמצעי פיקוח סבירים, דוגמת תוכניות אכיפה ופיקוח הנוגעות לליבת העיסוק של התאגיד .

נראה ,כי כדי שמנהל ישא באחריות פלילית בגין הפרת אמונים, שעניינה מחדלי פיקוח, צריך שעובד אחר יבצע עבירה תוצאתית לאורך זמן ,שפגיעתה קשה (כלכלית או בליבת עיסקי החברה), עבירה שיתכן והייתה נמנעת בהפעלת אמצעי פיקוח סבירים.

להשקפתי המקרה של מנהלי הבנק למסחר הוא מקרה מובהק בו מנהלי הבנק והדירקטורים שלו לא הפעילו את חובת הפיקוח שלהם בכלל וכגודל עוצמת הפגיעה שלהם בציבור כך גם עוצמת המחדל שלהם בפיקוח על אתי אלון, מחדל שהנגזרת שלו הן עבירות פליליות של מרמה והפרת אמונים בתאגיד ואף עבירות של של מנהלים ועובדים בתאגיד כאמור בסעיף 424 לחוק העונשין, כאשר עצימת עיניהם שקולה כנגד ידיעה כפי דבריה של השופטת עדנה קפלן כאמור לעיל.
